Terms of Service

By accessing or using ProfitPlate ("the Service", "the Platform"), you ("Client", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of ProfitPlate, including owners, administrators, managers, and other authorized users within a client organization.

ProfitPlate is a multi-tenant SaaS platform that provides restaurant operators with tools for:

• Ingredient-level food costing

• Recipe and menu cost management

• Overhead allocation and break-even analysis

• Monthly profit & loss (P&L) reporting

• Sales channel performance tracking (dine-in, delivery, deals, events)

ProfitPlate is not a point-of-sale (POS) system and does not process customer transactions or payments at the point of sale.

3.1 New clients are onboarded manually. Registration requires providing accurate business information, including business name, owner details, contact information, and selected plan.

3.2 Accounts are activated by our administrative team after payment verification. You will receive an activation link to set up your password.

3.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.4 You must notify us immediately of any unauthorized use of your account or any other breach of security.

4.1 ProfitPlate provides role-based access (Master Owner, Owner, Branch Admin, Manager, Branch Viewer, Viewer). It is the responsibility of the account owner(s) to assign roles appropriately and manage user access within their organization.

4.2 Each organization is responsible for the accuracy of data entered by its users, including ingredient prices, recipes, overhead costs, and sales data. ProfitPlate calculates costs and margins based on the data provided; we are not responsible for inaccuracies resulting from incorrect or incomplete input data.

5.1 Access to ProfitPlate requires an active subscription plan. Plan details, including included features and branch limits, are agreed upon during onboarding.

5.2 Payments are currently processed manually via Payoneer, bank transfer, EasyPaisa, or JazzCash. You agree to provide accurate payment information and to make payments according to the agreed schedule.

5.3 We reserve the right to suspend or restrict access to the Service if payment is not received or verified within the agreed timeframe.

5.4 Subscription extensions, upgrades, or downgrades must be requested through our administrative team and are subject to verification.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations

• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems

• Interfere with or disrupt the integrity or performance of the Service

• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law

• Use the Service to store or transmit data that infringes the rights of any third party

We reserve the right to suspend or terminate accounts that violate these terms.

7.1 You retain ownership of all business data you input into ProfitPlate, including ingredient information, recipes, pricing, sales data, and reports ("Client Data").

7.2 You grant us a limited license to store, process, and display your Client Data solely for the purpose of providing the Service to you.

7.3 We do not claim ownership of your Client Data and will not use it for purposes unrelated to providing and improving the Service, except as described in our Privacy Policy.

8.1 ProfitPlate performs cost, margin, and profitability calculations based on the data entered by you (ingredient prices, recipes, overhead, sales, etc.).

8.2 While we strive for calculation accuracy, ProfitPlate does not guarantee that reports or figures generated by the Service are free from error, particularly where they result from incorrect, incomplete, or outdated input data.

8.3 ProfitPlate should be used as a decision-support tool. Final business, pricing, and financial decisions remain your responsibility.

9.1 We aim to keep ProfitPlate available and operational at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

9.2 We are not liable for any loss or damage resulting from temporary unavailability of the Service.

Certain features (such as Deals, Events, or Delivery modules) may be restricted based on your subscription plan. Access to such features is governed by your plan and may be modified, added, or removed as part of platform updates.

11.1 We reserve the right to suspend or terminate access to the Service if:

• Payment obligations are not met

• These Terms are violated

• Required by law or regulatory request

11.2 You may request account closure at any time by contacting our support team. Upon closure, access to the Service will be discontinued, and data retention will follow our Privacy Policy.

To the maximum extent permitted by law, ProfitPlate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by you for the Service in the three months preceding the claim.

We may update, modify, or discontinue features of the Service from time to time. We will make reasonable efforts to notify clients of significant changes that affect core functionality.

We may revise these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
