Terms of Service

1. Acceptance of Terms

By accessing or using ProfitPlate ("the Service", "the Platform"), you ("Client", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of ProfitPlate, including owners, administrators, managers, and all other authorised users within a client organisation. Please read them carefully before using the platform.

2. Description of Service

ProfitPlate is a multi-tenant platform that provides restaurant operators with a comprehensive suite of tools for managing and understanding their business finances. This includes ingredient-level food costing, recipe and menu cost management, overhead allocation and break-even analysis, monthly profit and loss reporting, and sales channel performance tracking across dine-in, delivery, deals, and events.

ProfitPlate is not a point-of-sale system. It does not process customer payments or transactions at the counter and is not designed to replace your existing sales infrastructure.

3. Account Registration and Onboarding

New clients are onboarded manually by our team. Registration requires you to provide accurate business information, including your business name, owner details, contact information, and selected subscription plan. Incomplete or inaccurate information may result in delays or account restrictions.

Accounts are activated by our administrative team following payment verification. Once activated, you will receive a link to set up your secure password and access the platform.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. ProfitPlate cannot be held liable for losses arising from unauthorised access resulting from failure to safeguard your credentials.

You must notify us immediately if you become aware of any unauthorised access to your account or any other breach of security.

4. User Roles and Responsibilities

ProfitPlate provides role-based access controls including Master Owner, Owner, Manager, and Viewer levels. It is the responsibility of the account owner to assign roles appropriately and to manage user access within their organisation. Granting access to an individual implies trust in that individual to use the platform in accordance with these Terms.

Each organisation is responsible for the accuracy of the data entered by its users — including ingredient prices, recipes, overhead costs, and sales records. ProfitPlate performs calculations based on the data provided, and we are not responsible for inaccuracies in results that arise from incorrect, incomplete, or outdated input data.

5. Subscription Plans and Payment

Access to ProfitPlate requires an active subscription. The features and branch limits included in your plan are agreed upon during onboarding and are subject to the terms of that agreement.

Payments are currently processed manually via Payoneer, bank transfer, EasyPaisa, or JazzCash. By using the Service, you agree to provide accurate payment information and to make payments in accordance with your agreed schedule.

We reserve the right to suspend or restrict access to the Service if payment is not received or verified within the agreed timeframe. Subscription extensions, upgrades, or plan changes must be requested through our administrative team and are subject to verification and availability.

6. Acceptable Use

You agree to use ProfitPlate only for lawful purposes and in full compliance with all applicable laws and regulations. You must not attempt to gain unauthorised access to any part of the platform, to other client accounts, or to any connected systems or infrastructure.

You must not interfere with or disrupt the integrity, availability, or performance of the Service. Reverse engineering, decompiling, or attempting to extract the underlying source code or structure of the platform is not permitted, except where expressly permitted by applicable law.

You must not use the Service to store or transmit content that violates the intellectual property rights or any other legal rights of a third party.

We reserve the right to suspend or permanently terminate access for any account found to be in breach of these provisions, without prior notice where the severity of the violation warrants it.

7. Data Ownership

You retain full ownership of all business data you input into ProfitPlate, including ingredient information, recipes, pricing, sales records, and reports ("Client Data"). ProfitPlate does not claim ownership of your Client Data.

By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your Client Data solely for the purpose of providing the Service to you. This licence ends when your account is closed and your data is removed from the platform.

We will not use your Client Data for purposes unrelated to providing and improving the Service, except as described in our Privacy Policy.

8. Data Accuracy and Calculations

ProfitPlate performs cost, margin, and profitability calculations based on the data you have entered — including ingredient prices, recipe compositions, overhead figures, and sales records. The accuracy of these calculations depends entirely on the accuracy and completeness of the data provided.

While we strive to ensure our calculation logic is correct and up to date, ProfitPlate does not guarantee that reports or figures are free from error, particularly where they result from incorrect or outdated input data.

ProfitPlate is intended to be used as a decision-support tool. All final business, pricing, and financial decisions remain your responsibility.

9. Service Availability

We are committed to keeping ProfitPlate available and performing well at all times. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, platform updates, or unforeseen technical issues.

We will make reasonable efforts to notify clients in advance of planned maintenance that affects availability. We are not liable for any loss or damage resulting from temporary unavailability of the Service, provided that such unavailability is not the result of wilful misconduct on our part.

10. Feature Availability

Certain features — including the Deals, Events, and Delivery modules — may be available only on specific subscription plans. Access to these features is determined by your plan at the time of onboarding and may change as part of a plan upgrade or downgrade.

We reserve the right to introduce new features, modify existing features, or retire features as part of the natural evolution of the platform. Where significant changes affect core functionality relied upon by clients, we will make reasonable efforts to communicate those changes in advance.

11. Suspension and Termination

We reserve the right to suspend or terminate access to the Service where payment obligations are not met within the agreed timeframe, where these Terms are materially violated, or where we are required to do so by applicable law or regulatory authority.

Where possible, we will attempt to notify you before taking action. In cases of serious or repeated violations, suspension or termination may occur immediately and without prior notice.

You may request account closure at any time by contacting our support team. Upon closure, access to the Service will be discontinued. Data retention following closure is governed by our Privacy Policy.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ProfitPlate shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, data, or business opportunities — arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount paid by you for the Service in the three months immediately preceding the claim.

13. Changes to the Service

We continuously work to improve ProfitPlate and may update, modify, or discontinue features from time to time. Where changes affect core functionality that clients rely upon, we will make reasonable efforts to provide advance notice and, where feasible, a reasonable transition period.

14. Changes to These Terms

We may revise these Terms from time to time to reflect changes in how we operate, changes in the law, or other legitimate reasons. Material changes will be communicated to you by email or through the platform before they take effect.

Your continued use of the Service after revised Terms have come into effect constitutes your acceptance of those Terms. If you do not agree with the changes, you should discontinue use of the Service and contact us to discuss your options.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or related to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts relevant to the governing law, unless otherwise agreed in writing.
